1. Scope of Services

LogiKal is an AI-powered logistics operations platform that provides modular solutions including inbound, outbound, warehouse management, fleet orchestration, and real-time visibility workflows.

The scope, configuration, and access permissions are governed by the mutually executed Work Order, PO, or commercial agreement.

2. Client Responsibilities

The Client agrees to:

• Provide accurate and complete data necessary for platform setup

• Ensure only authorized users access the Platform

• Adhere to the access limitations and usage terms defined in the agreement

• Notify LogiKal immediately of any unauthorized access or breach

You remain responsible for activities conducted under your account and the confidentiality of your access credentials.

3. Acceptable Use

You may not use the Platform to:

• Reverse-engineer, decompile, or disassemble the software

• Disrupt, overload, or impair system integrity or security

• Infringe on intellectual property or proprietary rights

• Circumvent license restrictions or billing agreements

LogiKal reserves the right to suspend or terminate access if any misuse or abuse of the system is detected.

4. Data Rights & Privacy

All operational data shared by the Client remains the property of the Client. LogiKal may process such data solely for the purpose of delivering contracted services.

5. Intellectual Property

All intellectual property, trademarks, designs, algorithms, and proprietary content within the LogiKal platform remain the sole property of Rapidev Technologies Pvt. Ltd.

These Terms grant you a limited, non-transferable, non-exclusive license to use the platform within the scope of the signed agreement. No ownership rights are transferred.

6. Service Levels & Availability

LogiKal strives for high availability and enterprise-grade performance. Specific SLAs, uptime guarantees, and support windows are defined in the individual commercial agreements.

In case of unplanned outages, LogiKal will make best efforts to restore service with minimal disruption and will communicate status via designated channels.

7. Integration with Third-Party Services

The Platform may connect with third-party systems such as ERP, GPS, TMS, or telematics platforms at the Client’s request. LogiKal is not responsible for the accuracy, availability, or performance of these external services.

Any data exchanged with third-party systems is subject to their respective terms and privacy policies.

8. Fees and Payment

Fees, billing cycles, and payment terms are governed by the executed commercial agreement or PO.

Late payments may attract penalties as defined in the agreement and may result in suspension of access after due notice.

9. Confidentiality

Both parties agree to treat all shared technical, business, and operational information as confidential and not disclose it to any third party without prior written consent, unless required by law.

Existing NDAs signed between the parties shall govern confidentiality, where applicable.

10. Term & Termination

These Terms remain in effect throughout the duration of your active license period.

Either party may terminate the agreement with written notice in accordance with the termination clause of the commercial agreement. Upon termination:

• Access to the Platform will be revoked

• Client data will be exported or deleted based on the agreed process

• Outstanding dues must be settled within the agreed timelines

11. Limitation of Liability

To the maximum extent permitted by law, LogiKal shall not be liable for:

• Indirect or consequential damages

• Loss of data, profits, or revenue

• Downtime due to third-party systems or force majeure

Total liability under this agreement shall be limited to the fees paid by the Client in the previous 12 months.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India, and the courts of Hyderabad, Telangana shall have exclusive jurisdiction over any disputes.

13. Modifications

We may update these Terms from time to time to reflect changes in the platform or legal requirements. Updated terms will be notified to the Client and posted on our website. Continued usage constitutes acceptance of the revised Terms.
